Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and BUYBIZZ DIGITAL SOLUTION PVT LTD, a company incorporated in India, which operates Xicmo (“Xicmo”, “we”, “us”). They cover your use of xicmo.com, the Xicmo app, our browser extensions and related services (the “Service”).

By creating an account or using the Service you accept these Terms, our Privacy Policy and our Cancellation & Refund Policy. If you use the Service for a company, you confirm you are authorised to bind it, and “you” means that company.

• You must be at least 18 years old and able to form a binding contract.
• Xicmo is a business tool. You use it in the course of your trade, business or profession.
• Keep your login details secure and the information in your account accurate. You are responsible for everything that happens under your account, including actions taken by anyone you let use it.
• Tell us straight away at support@xicmo.com if you suspect unauthorised access.

Xicmo plans (Lite, Standard and Pro) are monthly subscriptions that renew automatically until cancelled. Each plan grants access to the agents its tier includes and a monthly allowance of credits. Unused credits expire at each renewal. Additional credits can be purchased separately on an active plan.

Licences bought on AppSumo grant lifetime access to their tier's agents and that tier's credits for the first month after activation. After the first month, credits are available by subscribing to a monthly plan. “Lifetime” means for as long as Xicmo is offered.

• Payments are processed by Razorpay or PayPal. By paying, you authorise the recurring charge for your plan until you cancel.
• Prices are shown at checkout and exclude taxes unless stated. You are responsible for applicable taxes, such as GST.
• If a payment fails, we may pause paid features until it succeeds.
• We may change prices or plan contents. Any change takes effect at your next renewal, after notice by email.
• You can cancel at any time from the billing page. Payments are non-refundable, as set out in our Cancellation & Refund Policy.

Xicmo works by connecting to accounts you own, such as Google, Reddit, X, LinkedIn, Instagram, YouTube and GitHub, and acting on your instructions. You agree that:

• You will only connect accounts you are authorised to use.
• You are responsible for following each platform's terms, community rules and rate limits. Your use of YouTube data through Xicmo is also subject to the YouTube Terms of Service.
• Content that Xicmo publishes, posts or sends on your behalf is your content and your responsibility, whether you approved it individually or scheduled it in advance.
• Platforms may limit, restrict or suspend accounts that use automation. We build in pacing and caps, but we cannot control those decisions and are not responsible for them.
• Platforms may change or withdraw their APIs at any time, which can affect or end a feature.

You must not use the Service to:

• send spam or unsolicited bulk messages, or breach anti-spam and marketing laws (such as CAN-SPAM, GDPR/ePrivacy or India's IT Rules);
• harass, threaten, impersonate or deceive anyone, or run fake reviews, vote manipulation or astroturfing;
• publish content that is unlawful, defamatory, obscene, hateful, or that infringes someone else's intellectual property or privacy;
• collect or process personal data without a lawful basis, or contact people who have opted out;
• distribute malware, probe or attack our systems or anyone else's, or get around usage limits or credit metering;
• copy, resell, reverse-engineer or build a competing product from the Service, except where the law allows;
• share accounts or licences outside your organisation.

We may remove content or suspend features that breach this section, and we may report illegal activity to the authorities.

• Xicmo uses AI models to generate drafts, analysis and recommendations (“Output”). Output can be inaccurate, incomplete or similar to output generated for others.
• You are responsible for reviewing Output before you rely on, publish or send it, and for making sure it is accurate and lawful.
• As between you and us, you own the Output generated for you, to the extent the law allows.
• Output is not legal, financial, medical or other professional advice.

You keep all rights to the content and data you put into the Service and to the Output generated for you (“Your Content”). You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service for you. We do not use Your Content to train AI models. You confirm you have the rights needed to give us this licence.

The Service, including its software, design, agents, prompts and the Xicmo name and logo, belongs to BUYBIZZ DIGITAL SOLUTION PVT LTD and its licensors. While you comply with these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.

If you send us feedback or suggestions, we may use them freely and without any obligation to you.

The Service relies on and links to third-party services, such as AI model providers, payment processors and the platforms you connect. Their own terms and privacy policies apply to your use of them. We are not responsible for third-party services, their availability or their content.

• You can stop using the Service and delete your account at any time from Settings.
• We may suspend or terminate your access, with notice where reasonable, if you breach these Terms, fail to pay, create a risk for other users or for us, or if the law requires it.
• When your account ends, your right to use the Service stops and we delete your data as described in the Privacy Policy. Sections that by their nature should survive (including payment owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law) survive termination.

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any specific traffic, ranking, visibility, engagement, lead or revenue outcome, or that the Service will be uninterrupted or error-free.

To the fullest extent the law allows:

• Neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities.
• We are not liable for actions taken against your accounts by third-party platforms, or for content you approved, scheduled or published.
• Our total liability for all claims relating to the Service is limited to the amount you paid us in the three months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.

You will defend and indemnify BUYBIZZ DIGITAL SOLUTION PVT LTD and its directors, employees and agents against any claims, losses and costs (including reasonable legal fees) arising from Your Content, your use of connected platforms through the Service, or your breach of these Terms or of the law.

These Terms are governed by the laws of India. Before starting any formal proceedings, please email support@xicmo.com so we can try to resolve the issue informally within 30 days. If it is not resolved, the courts of India have exclusive jurisdiction, unless mandatory consumer law where you live gives you the right to bring a claim in your local courts.

• Changes: we may update these Terms. If a change is material, we will tell you by email or in the app at least 14 days before it takes effect. Continuing to use the Service after that means you accept the new Terms.
• Assignment: you may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
• Force majeure: neither party is responsible for delays caused by events beyond its reasonable control.
• Severability and waiver: if any part of these Terms is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it.
• Entire agreement: these Terms and the policies they reference are the whole agreement between us about the Service.
